Terms of Service and End User License Agreement (EULA) for Leaders Edge

1. Agreement to Terms

By downloading, installing, or using the Leaders Edge mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"), which also constitute the End User License Agreement (EULA) for the App. If you disagree with any part of these terms, then you may not access the App.

2. Description of Service

Leaders Edge is a mobile application by Agatsu Inc. that provides:

• Daily micro-coaching sessions for leadership development
• Audio-enhanced leadership programs
• Interactive journaling and exercises
• Progress tracking and analytics
• Personalized program recommendations

3. Subscription Terms

3.1 Subscription Options

• Free Tier: Access to 3-day program samplers and completed trial content
• Premium Monthly: $29.99/month - Full access to all programs and features
• Premium Annual: $251.92/year - Full access with 30% discount
• Business Package: $79.99/month for 3 users - Each user gets full premium access

3.2 Billing

• Payment will be charged to your Apple App Store account
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage or cancel subscriptions in your App Store account settings
• To manage your subscription: Go to Settings > [Your Name] > Subscriptions on your iOS device

3.3 Reverse Trial

• New users receive 7 days of full access to one selected program
• No credit card required to start trial
• After 7 days, account converts to free tier with:
  • Access to completed trial days (Days 1-3)
  • Access to 3-day samplers of other programs
  • Locked content visible for motivation
• Subscribe anytime to unlock full access and continue progress
• Special discounts may be offered during trial period

4. User Accounts

4.1 Account Creation

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of any unauthorized access
• One person per account - no sharing allowed

4.2 Account Termination

• You may terminate your account at any time
• To delete your account: Go to Settings > Account > Delete Account in the app, or email info@agatsu.com
• We may terminate accounts that violate these Terms
• Upon termination, your right to use the App will cease immediately
• Account deletion will remove all your personal data within 30 days

5. User Content

5.1 Your Content

• You retain ownership of all content you create (journal entries, reflections, etc.)
• By using the App, you grant us a license to store and display your content within the App
• You are responsible for your content's accuracy and appropriateness

5.2 Content Guidelines

You agree not to post content that:

• Is illegal, harmful, or offensive
• Infringes on intellectual property rights
• Contains personal information of others
• Is spam or commercially promotional

6. Intellectual Property

6.1 Our Property

All App content, features, and functionality are owned by Agatsu Inc. and are protected by international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

• Download and use the App for personal, non-commercial use
• Access content you've rightfully purchased through the App

7. Prohibited Uses

You may not:

• Modify, reverse engineer, or decompile the App
• Use the App for any illegal purpose
• Transmit viruses or malicious code
• Attempt to gain unauthorized access to our systems
• Resell or redistribute App content
• Use automated systems to access the App
• Share account credentials

8. Content and Advice Disclaimers

8.2 AI-Generated Content Disclaimer

Some content or responses in the App may be generated or assisted by artificial intelligence. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or biases
• AI responses should not be relied upon as professional advice
• You should verify any important information independently
• We are not liable for decisions made based on AI-generated content
• AI cannot replace human judgment in complex situations

8.3 No Professional Relationship

Use of this App does not create any professional relationship (coach-client, advisor-advisee, therapist-patient, etc.) between you and Agatsu Inc. The App is not a substitute for working with qualified professionals in relevant fields.

8.4 No Guarantees

We make no guarantees, representations, or warranties about:

• Specific results from using our programs
• Career advancement or business outcomes
• Resolution of workplace conflicts or challenges
• Personal or professional transformation
• Income or financial improvements

Individual results vary significantly based on numerous factors including but not limited to personal commitment, organizational context, and application of concepts.

8.5 Your Responsibility

You acknowledge that:

• You are solely responsible for decisions made based on App content
• You should consult appropriate professionals before making significant decisions
• Leadership contexts are complex and require situational judgment
• Generic advice may not apply to your specific situation
• You assume all risks associated with implementing any strategies or advice

8.6 Workplace Compliance

This App is not a substitute for your organization's HR policies, legal requirements, or compliance obligations. You remain responsible for:

• Following your employer's policies and procedures
• Complying with applicable employment laws
• Meeting professional licensing requirements
• Adhering to industry-specific regulations
• Maintaining required certifications

8.7 Confidentiality Warning

Do not share confidential workplace information, trade secrets, or proprietary data in journal entries or any other App features. We are not responsible for:

• Breaches of your employment confidentiality agreements
• Violations of non-disclosure agreements
• Disclosure of insider information
• Sharing of protected intellectual property
• Breaches of client or customer confidentiality

8.8 Crisis Situations

This App is not designed for crisis management. If you are experiencing:

• Workplace harassment or discrimination
• Threats to physical or psychological safety
• Illegal activities in your workplace
• Ethical violations requiring reporting
• Mental health emergencies

Please contact appropriate authorities, legal counsel, HR departments, or emergency services immediately.

8.9 Cultural and Jurisdictional Differences

Leadership practices and workplace norms vary significantly across cultures, countries, and organizations. Content in this App:

• May not be appropriate for all cultural contexts
• Could conflict with local laws or customs
• Might not align with your organization's values
• Should be adapted to your specific context
• Is primarily designed for North American business environments

8.10 Third-Party Actions

We are not responsible for:

• How others react to your implementation of App concepts
• Decisions made by your employer based on your actions
• Outcomes of workplace interactions or negotiations
• Third-party interpretation of your leadership changes
• Consequences of sharing App content with others

8.11 No Fiduciary Duty

Agatsu Inc. does not owe you any fiduciary duty. We are not acting as your:

• Executive coach with professional obligations
• Trusted advisor with loyalty duties
• Consultant with confidentiality requirements
• Therapist with duty of care
• Legal or financial advisor with fiduciary responsibilities

9. Privacy

Your use of our App is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the App and informs users of our data collection practices.

10. Disclaimers

10.1 "As Is" Service

The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

10.2 No Warranty

We do not warrant that:

• The App will be uninterrupted or error-free
• Defects will be corrected
• The App is free of viruses or harmful components
• Results will meet your expectations

11. Limitation of Liability

In no event shall Agatsu Inc., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the App.

12. Indemnification

You agree to defend, indemnify, and hold harmless Agatsu Inc. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Quebec, Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

15. Refund Policy

• Subscriptions: Refunds are handled according to Apple's App Store policies
• No refunds for partially used subscription periods
• To request a refund, contact Apple App Store support
• Note: Apple processes all payments and refunds. We cannot directly issue refunds.

16. Third-Party Links

Our App may contain links to third-party websites or services that are not owned or controlled by Agatsu Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

BY USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.

21. Dispute Resolution

21.1 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in Montreal, Quebec, Canada, rather than in court, except that you may assert claims in small claims court if your claims qualify.

21.2 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

22. User Conduct

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Share your account credentials with others
• Attempt to circumvent subscription requirements
• Copy, distribute, or modify App content without permission
• Use automated systems or software to extract data from the App
• Impersonate another person or entity
• Upload viruses or malicious code

24. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other unforeseeable cause that is beyond the reasonable control of such party.
